CRITICALCONTROL CLOSES PRIVATE PLACEMENT

CriticalControl Solutions Corp., (“CriticalControl” or the “Company”) (TSX Venture: CCZ) is pleased to announce that it has closed a private placement of shares at $0.10 per share for gross proceeds of $535,000 as contemplated in the Company's press release of October 22, 2004.

$235,000 of the private placement was subscribed directly by officers, directors and employees of the Company. The remaining $300,000 was completed through an arrangement with Northern Securities (the "Agent") whereby a director of CriticalControl sold 3,000,000 shares of the Company at $0.10 through the facilities of the TSX Venture Exchange as arranged by the Agent and subscribed for $300,000 of shares at $0.10 under the private placement. All shares issued from treasury are subject to a four month hold period.
