WNS EMERGENT INC. (TSX-V: WNS) NEWS RELEASE For Immediate Release: Wednesday, February 04, 2004 Calgary, Alberta WNS ANNOUNCES STRATEGIC OPERATIONAL RESTRUCTURING WNS Emergent Inc. (“WNS” or the “Company”) is pleased to announce that it has successfully implemented an overall strategic operational restructuring in an effort to consolidate the different business units acquired by the Company over the past 20 months and best exploit the strength of its management team. Given the increasing exposure of WNS' products to the largest energy companies in the United States and the emerging markets of South America and Southeast Asia, George Watson, CEO will shift his focus from operations to the strategic development of WNS' business to the international energy sector and government. Accordingly, Alykhan Mamdani, CFO and Founder of WNS, has taken on the additional title of President and is directly responsible for overall operations. Zuhair Shlah, formerly COO, has moved to Executive Vice President, Sales in an effort to better utilize his extensive knowledge, industry experience and sales network. New sales staff have been hired in Calgary, Edmonton and Toronto and under the leadership of Mr. Shlah will be in a better position to market WNS' solutions. The board of directors of WNS has been streamlined from 9 members to a more manageable 7 members through the resignations of Kevin Starozik and Robert McKenzie. Through the acquisition of several business units over the past 20 months, WNS has developed a cohesive practice of providing its clients control over their critical information. In an effort to streamline overall operations and achieve greater cross selling within WNS' strong client base, WNS is moving to consolidate all its divisional operations into a single operating subsidiary. As such, effective March 1, 2004, all of WNS' business will be conducted primarily through Critical Control Solutions Inc., a wholly owned subsidiary of WNS. Subject to shareholder approval at its annual meeting in the third quarter of 2004, WNS will change its name and trading symbol to reflect its new operating name. As of March 1, 2004 substantially all of WNS' business will be conducted as Critical Control Solutions Inc. and the company's new website, www.criticalcontrol.com, will be launched at that time.
