WNS ANNOUNCES AND COMPLETES PRIVATE PLACEMENT

WNS Emergent Inc. (“WNS” or the “Company”) (TSX-V: WNS) is pleased to announce that it has completed, subject to regulatory approval, a financing of $325,000 through the private placement of unsecured subordinated debentures of WNS. The debentures are convertible into common shares of WNS at $0.10 per share, bear an interest rate of 10% per annum, payable quarterly and mature on August 31, 2005. No fees were paid to any agents under this private placement. WNS has the right to force conversion of the outstanding principal amount of the debentures into shares at $0.10 per share prior to December 31, 2003 by paying a penalty equal to 14.29% of the principal amount of the debenture less any interest payable such that a maximum of 3,714,425 common shares of WNS will be issued if WNS exercises this right.

Insiders participating in this round of the private placement are George Watson - $25,000, RSM Investments Ltd. (Robert McKenzie) - $50,000, SNC Financial Inc. (Dennis Nerland) - $25,000, Kevin Starozik - $100,000 and Maxam Developments Limited (Willard Kirkpatrick) - $25,000.
