WNS ANNOUNCES SUCCESSFUL EXECUTION OF PLAN TO BECOME CASH FLOW POSITIVE

Calgary, May 13 - WNS Emergent Inc. (“WNS” or the “Company”) is pleased to announce that it has successfully executed on its plan to become cash flow positive in the first calendar quarter of 2003.

The Corporation changed its fiscal year end to December 31 and will be filing its audited financial statements for the fiscal year ended December 31, 2002 (consisting of the four months commencing September 1, 2002 - hereinafter referred to as the "Stub Period") by May 20, 2003. At the same time, the Corporation will be filing its unaudited financial statements for the 3 months ended March 31, 2003.

Revenue for the Stub Period was $2,388,000 resulting in a Net Loss of $1,431,000. The Net Loss for the Stub Period includes Amortization of $497,000 and a write down of goodwill and other assets of $657,000. Revenue for the quarter ended March 31, 2003 was $2,234,000 resulting in a Net Loss of $149,000. The Net Loss for the quarter includes Amortization charges of $286,000. Further details will be released upon the filing of the financial statements on May 20, 2003.
