(“WNS” or the “Company”) is pleased to announce that it has closed an initial round of $1,085,900 of the $1,300,000 private placement previously announced in WNS’ press release of October 25, 2002. Insiders participating in the private placement are George Watson - $150,000, Alykhan Mamdani - $25,000, Softech Capital Corp. (Alykhan Mamdani) - $111,000, Suad Shlah (spouse of Zuhair Shlah) - $15,000, SNC Financial Inc. (Dennis Nerland) - $55,000, Kevin Starozik - $50,000, Agilis Corp. (Kevin Starozik) - $50,000, Maxam Developments Limited (Willard Kirkpatrick) - $51,000, RSM Investments Ltd. (Robert McKenzie) - $50,000 and Thomas Ulrich - $20,000. Pursuant to WNS’ acquisition agreement with Agilis Corp. (“Agilis”) whereby WNS acquired Emergent Technologies, a deferred cash payment of $199,000 was to become due when WNS completed a private placement in excess of $1,000,000. WNS is pleased to advise that WNS and Agilis have agreed that Agilis will convert the $199,000 of the principal and $6,935.01 of interest into 2,059,350 shares pursuant to a settlement of debt for shares agreement. “I am extremely pleased with the commitment shown by our shareholders and directors to our business model by participating in this round of financing.
