WNS INC. GRADUATES TO TIER 1 OF THE TSX VENTURE EXCHANGE [FORMERLY CDNX]

Calgary, April 22 - WNS Inc. ("WNS") today announced that it has met the minimum listing requirements for Tier 1 issuers listed on the TSX Venture Exchange (previously known as the Canadian Venture Exchange. Consequently, the TSX Venture Exchange has issued a bulletin dated April 19, 2002 announcing the graduation of WNS to Tier I of the TSX Venture Exchange effective April 22, 2002.

“The graduation to Tier 1 status is a reflection of the WNS’ significant progress over the last year. The classification of WNS as a Tier 1 issuer will allow WNS significantly more flexibility in pursuing its acquisition strategy”, said Dennis Nerland, Chairman of the Board
